Terms of Service

The rules for using this website and the client platform. Your actual project is governed by your signed MSA and SOW, which take precedence over anything here.

Working draft. This document was prepared during the pre-launch build and has not been reviewed by counsel. It is published for transparency, not as a binding agreement. Your engagement is governed by your signed MSA and SOW.

Precedence

If you have signed a Master Services Agreement or Statement of Work with StratEdge, those documents govern your engagement. These terms cover website and platform use only, and they yield to your signed agreements wherever the two conflict.

The engagement model

StratEdge Global is the contracting party. You contract with StratEdge, not with individual engineers.

Work may be performed by subcontracted engineers under agreements that assign all intellectual property to StratEdge, which then assigns it to you on payment.

By default, subcontracted engineers do not receive your organization identity, contact details, or contract value. Disclosure requires your written consent and an executed NDA.

Non-solicitation

For 24 months following the end of an engagement, neither party will directly solicit or engage the other party's personnel or subcontractors introduced during the engagement, without written consent.

This is reciprocal. It protects your team as much as ours.

Intellectual property

On full payment for a deliverable, all right, title, and interest in that deliverable transfers to you.

StratEdge retains rights to general know-how, and to reusable components and libraries developed independently of your engagement. These are licensed to you perpetually and royalty-free as embedded in your deliverable.

Acceptable use

Do not attempt to access data belonging to other organizations, probe the platform for vulnerabilities without written authorization, or use the platform to store unlawful content.

Status of this document

This document is a working draft prepared for the pre-launch build. It has not been reviewed by counsel. Have an attorney review it before StratEdge signs its first client contract.
